Contractor Referral Program
Terms & Conditions
These Terms and Conditions ("Terms") govern participation in the Contractor Referral Program ("Program") offered by Lindsay Mae Designs ("LMD," "we," or "our"). By applying to or participating in the Program, you ("Contractor") agree to these Terms.
1. Eligibility
Participation in the Program is open to licensed and insured contractors who provide landscaping installation services. Contractors must maintain good standing in their professional field and comply with all applicable laws and regulations.
2. Referral Agreement
Lindsay Mae Designs (LMD) agrees to refer clients ("Referred Clients") to the Contractor under a tiered fee structure: projects between $5,000 and $50,000 incur a referral fee of 8% of the total contract value, projects between $50,000 and $100,000 incur a fee of 5%, and projects exceeding $100,000 incur a fee of 3%. A referral is defined as a client introduced by LMD through written or verbal communication that results in a signed contract between the Contractor and the Referred Client. Any changes to the project scope or value after the contract is signed will proportionally adjust the referral fee. Referral fees must be paid within thirty (30) days of the Contractor receiving full payment from the Referred Client. Late payments may result in removal from the Program. This transparent agreement ensures equitable and mutually beneficial partnerships.
3. Exclusive Referral Discount for Contractors
As part of our commitment to fostering strong partnerships, LMD offers a 10% discount on our landscape design services for projects referred or subcontracted by participating contractors. This discount, applicable to design services provided directly by LMD, allows contractors to offer competitive pricing to their clients without sacrificing design quality. By utilizing this benefit, contractors can enhance client satisfaction, reduce design outsourcing costs, and strengthen long-term client relationships. To apply the discount, contractors must confirm their intent to utilize it when initiating a referral or subcontracting a project, with appropriate referral documentation provided during project initiation.
4. Payment Terms
Referral fees are due within thirty (30) days of the Contractor receiving full payment from the Referred Client. If a project’s scope or total value changes after the contract is signed, the referral fee will be adjusted proportionally. Failure to remit payment within the specified timeframe may result in removal from the Program.
5. Site Analysis Requirement
Prior to commencing construction, Contractors must perform a thorough site analysis to ensure that the design provided by Lindsay Mae Designs aligns with the physical and environmental conditions of the project site. This analysis must include, but is not limited to, evaluating soil conditions, grade, drainage, existing structures, utilities, and any potential site-specific constraints. Contractors are responsible for notifying LMD and the Referred Client of any discrepancies or issues that may affect the execution of the design before construction begins. Failure to conduct a proper site analysis or report identified issues may result in the Contractor being held liable for any related project delays or damages.
6. Submission of Portfolio Images
Contractors participating in the Program agree to provide Lindsay Mae Designs (LMD) with high-quality images of the completed project for use in LMD's portfolio, marketing materials, and promotional activities. These images must be submitted within thirty (30) days of project completion. Contractors are responsible for obtaining necessary permissions from the property owner or Referred Client to share these images with LMD. LMD will provide appropriate credit to the Contractor in all uses of the images.
7. Confidentiality
Contractors agree to keep all information regarding referrals, including but not limited to client details, referral fees, and Program terms, confidential unless required by law.
8. Termination
Either party may terminate participation in the Program with thirty (30) days' written notice. Referrals made prior to termination will remain compensable under these Terms.
9. Non-Exclusivity
Participation in the Program does not grant the Contractor exclusive rights to referrals from LMD. LMD reserves the right to refer clients to other contractors at its discretion.
10. Governing Law
These Terms are governed by the laws of the state of Iowa, and any disputes shall be subject to the exclusive jurisdiction of Polk County, Iowa.
11. Dispute Resolution
Any disputes arising from these Terms will be resolved through good faith negotiation or mediation. If unresolved, the matter will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

LMD reserves the right to modify these Terms at any time. Contractors will be notified of changes via email or other written communication. Continued participation in the Program constitutes acceptance of the modified Terms.
